  • Grant necessary access to accounts, platforms, and materials required for campaign execution
  • Respond to requests for feedback and approvals in a timely manner
  • Comply with all applicable laws and regulations in your industry
  • Maintain the confidentiality of login credentials and account information

4. Payment Terms

Payment terms are established in individual service agreements. General payment conditions include:

  • Invoices are issued according to the agreed schedule (monthly, quarterly, or project-based)
  • Payment is due within 15 days of invoice date unless otherwise specified
  • Late payments may incur interest charges and service suspension
  • Refund policies are outlined in individual service agreements

5. Intellectual Property Rights

5.1 Client-Owned Materials

You retain all rights to materials, content, and intellectual property you provide to us.

5.2 Deliverables

Upon full payment, you receive ownership rights to deliverables created specifically for your campaign, unless otherwise stated in the service agreement. This includes custom content, graphics, and campaign materials.

5.3 Company Property

AD CHRONICLE LLC retains ownership of our proprietary methods, processes, tools, and templates used in service delivery.

6. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information, trade secrets, and proprietary data shared during the course of our business relationship.

7. Service Level and Performance

While we strive to deliver optimal results, digital marketing outcomes depend on numerous factors beyond our control. We do not guarantee specific results, rankings, traffic volumes, or sales figures. Our commitment is to apply industry best practices and deliver high-quality strategic work.

8. Term and Termination

8.1 Service Period

Services continue for the duration specified in your service agreement.

8.2 Termination

Either party may terminate services with written notice as specified in the service agreement. Early termination may result in fees for work completed and committed resources.

8.3 Post-Termination

Upon termination, we will provide final deliverables and reports. Access to third-party platforms and ongoing campaign management will cease.

9. Limitation of Liability

AD CHRONICLE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services. Our total liability shall not exceed the fees paid by the client in the six months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AD CHRONICLE LLC from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Third-Party Platforms

Our services often involve third-party platforms (Google, Facebook, etc.). We are not responsible for changes to these platforms, policy violations, or account suspensions resulting from platform decisions.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last Updated" date. Continued use of our services after modifications constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where AD CHRONICLE LLC operates, without regard to conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes may be subject to binding arbitration or litigation as specified in individual service agreements.
